Announcement Details :
Following to the above, interest charges of RM1,542,000 and bank charges of RM84,000 will be imposed by NTIT to APT for the said Letter of Credit for a period of not more than four (4) months.
The purpose of the said Letter of Credit is to facilitate the purchase of the printing machine from FCH (H.K) Ltd for APT’s ordinary course of business amongst others the provision of printing services for tobacco packaging and packaging services in general.
The issuance of the Letter of Credit by NTIT on behalf of APT is not expected to have any significant impact on the net assets and the earnings of the TWPH Group for the financial year ending 31 December 2009.
Tengku Tan Sri Dr. Mahaleel bin Tengku Ariff and Mr. Gary Yen are deemed interested with regards to the issuance of Letter of Credit by NTIT on behalf of APT due to the following reasons:
(a) Tengku Tan Sri Dr. Mahaleel bin Tengku Ariff is the Director of TWPH, APT and NTIH; and
(b) Mr. Gary Yen is the Director of TWPH and NTIH.
NTIH is deemed interested in the issuance of the Letter of Credit as NTIH is the ultimate major shareholder of TWPH and is also engaged in the above mentioned transaction with TWPH through NTIT, being its wholly-owned subsidiary.
Accordingly, Tengku Tan Sri Dr. Mahaleel bin Tengku Ariff and Mr. Gary Yen have and will continue to abstain from deliberation in respect of the issuance of Letter of Credit by NTIT on behalf of APT at the relevant Board meetings of TWPH.
Save for Tengku Tan Sri Dr. Mahaleel bin Tengku Ariff, Mr. Gary Yen and NTIH, none of the Directors and/or substantial shareholders or persons connected to the Directors and/or substantial shareholders of TWPH have any interest, direct or indirect, in the aforesaid Letter of Credit.
The Board save for Tengku Tan Sri Dr. Mahaleel bin Tengku Ariff and Mr. Gary Yen is of the opinion that the issuance of Letter of Credit by NTIT on behalf of APT is in the best interest of the TWPH Group and none of the Directors of TWPH has disagreed with this statement.
